Terms of Service

Please read these terms carefully. They govern your use of Industrial Connected and form a binding contract.

1. Introduction

These Terms of Service (the "Terms") govern your access to and use of the Industrial Connected platform, website, mobile experiences, APIs, communications and related services (together, the "Service"), operated by Industrial Connected Ltd, a company registered in England and Wales with company number 16307816 and registered office at Sedulo Manchester, 62-66 Deansgate, Manchester, M3 2EN ("we", "us", "our"). By creating an account, posting a listing or project, submitting a quotation, signing an NDA through the Service, purchasing a subscription or paid placement, or otherwise using the Service, you agree to be bound by these Terms and by any documents incorporated by reference (including our Privacy Policy and any product-specific terms presented at checkout or sign-up). If you do not agree, do not use the Service.

2. Eligibility and authority

You must be at least 18 years old, legally able to form a binding contract, and authorised to act on behalf of the business you register. Accounts must represent a genuine engineering, manufacturing or related industrial organisation.

Supplier, equipment seller and industry support accounts are currently offered to businesses registered with Companies House in the United Kingdom, because supplier verification relies on a Companies House company record. Buyers and buying organisations may be based outside the United Kingdom, and suppliers may of course trade internationally. Supplier eligibility outside the United Kingdom may be introduced in future; until then, a non-UK-registered supplier business should contact us rather than assume access.

You warrant that all information you supply is true, accurate, current and complete, and that you will keep it up to date. We may refuse, suspend, restrict or terminate an account on the grounds set out in clause 34.

2a. Definitions

In these Terms:

  • Account means a personal login used by an individual to access the Service.
  • Application means a supplier's submission against a Requirement, including any accompanying quotation.
  • Authorised User means an individual permitted by the Customer to use the Service under the Customer's Subscription.
  • Billing Period means the recurring interval at which Subscription Fees are collected (for example monthly or annual). It is a payment frequency, not the length of the commitment.
  • Buyer means a user or organisation that posts Requirements or sources suppliers through the Service.
  • Buyer Project Materials has the meaning given in clause 27a.
  • Confidential Information means information disclosed through the Service that is marked confidential or that a reasonable business person would treat as confidential, including Buyer Project Materials, Supplier Proposal Materials, quotations, pricing, technical data and private messages, subject to the exclusions in clause 27.
  • Customer or Organisation means the legal entity that holds the Subscription and on whose behalf Authorised Users act.
  • Initial Term means the minimum commitment period stated for a paid plan at checkout, beginning when paid billing starts.
  • Introduction means a connection between users made through or facilitated by the Service.
  • Marketplace means the Supplier Marketplace, Sourcing Marketplace, Equipment Marketplace and Industry Support directory, as applicable.
  • Project, Requirement and RFQ mean a sourcing requirement posted by a Buyer. "Requirement" is the term used in the product; "Project" and "RFQ" are used interchangeably in these Terms and in historic records.
  • Renewal Term means each successive period for which a Subscription continues after the Initial Term.
  • Service has the meaning given in clause 1.
  • Supplier means a user or organisation that offers manufacturing, engineering or related capabilities through the Service.
  • Supplier Proposal Materials has the meaning given in clause 27b.
  • Subscription means a paid plan purchased through the Service, and Subscription Fees means the fees payable for it.
  • Verified and Verification have the meaning given in clause 7.

3. Accounts and security

You are responsible for safeguarding your login credentials, multi-factor authentication factors and backup codes, and for all activity that occurs under your account, whether or not authorised by you. You must notify us immediately via the "Chat with us" button at the bottom right of any page if you suspect unauthorised use. We are not liable for any loss arising from your failure to protect your credentials, devices or email account.

3a. Organisations, account owners and Authorised Users

Where an Account is created for, or associated with, a business, the Customer is that business and not the individual employee. The individual who purchases a Subscription or creates the company record is the account owner, and may appoint administrators and Authorised Users. Company-level marketplace data (including the company profile, supplier profiles, Requirements, Applications, quotations, message threads, NDAs and analytics created in the course of the Customer's business) belongs to the Customer, not to the individual employee who happened to create it.

The Customer is responsible for all activity carried out by its Authorised Users, for maintaining an accurate list of them, and for removing access promptly when an individual leaves or changes role. Where an individual leaves an Organisation, their access to that Organisation's data may be removed by an administrator or by us at the Organisation's request, and the Organisation's data remains with the Organisation. Administrator rights and company ownership may be transferred through the ownership-transfer process in the Service; we may require reasonable evidence of authority before actioning a transfer, and may decline where authority is unclear or disputed.

Subscriptions are billed centrally to the Customer. Where a plan includes a number of commercial seats or supplier profiles, additional seats, additional supplier profiles and Multi-Company arrangements are charged in accordance with the pricing shown at checkout and clause 20. Non-commercial or marketing-only user types, where offered, do not consume commercial seats.

4. Platform role (introductions only)

Industrial Connected is an introduction, listing and information platform only. We facilitate introductions between users and provide informational tools, directories, listings, scoring, comparison, messaging, document templates and decision-making aids. Users remain solely responsible for conducting their own due diligence and making their own commercial, legal, technical, regulatory, financial, insurance and safety decisions.

We are not a party to, agent for, broker of, guarantor of, escrow agent in respect of, or fiduciary for any contract, quotation, purchase order, equipment sale, services engagement, NDA or commercial agreement formed between users. We do not employ, supervise, direct or control any supplier, buyer, seller or provider. We do not guarantee the existence, identity, quality, capacity, certifications, insurance, financial standing, condition of goods, lawful authority or commercial conduct of any participant. Any agreement, transaction or dispute arising between users is solely the responsibility of those users, and you release Industrial Connected from any claim arising out of or related to such dealings.

5. Services offered

The Service currently includes, without limitation:

  • Supplier Marketplace: a directory of engineering and manufacturing suppliers, with search, filtering, side-by-side comparison and saved-supplier tools.
  • Sourcing Marketplace: buyers post requirements; suppliers apply and submit quotations; buyers shortlist and progress chosen suppliers.
  • Equipment Marketplace: "For Sale" and "Wanted" listings for industrial equipment, machinery and assets.
  • Industry Support directory: listings for service providers supporting the engineering and manufacturing sector (for example consultants, finance, training, software, logistics, insurance, legal, IT, sustainability and marketing).
  • Verification: a "Verified" status, being a status awarded after a work email-domain check and a Companies House company-record check have both been completed and accepted, as defined in clause 7.
  • NDA tooling: a standard mutual NDA template that buyers and suppliers may execute electronically through the Service.
  • Reviews, ratings and lead feedback.
  • Trust Score, Supplier Performance Score, matching, recommendations and rankings.
  • Sponsorships, featured placements, premium subscriptions, lead credits and founding member offers.
  • AI assisted features, chatbots, drafting aids and content suggestions.
  • Notifications and communications: transactional emails, alerts, recommendations and marketing communications (where opted in).

We may add, modify, improve, restrict, rate limit, withdraw or move features between tiers in order to develop and operate the Service. Bug fixes, interface changes, security changes, minor functionality changes and the replacement of a feature with equivalent or better functionality are part of normal development and do not give rise to any right of termination or refund.

Where a Customer is within a paid Initial Term, we will not materially remove the core functionality that Customer purchased on that plan without making a reasonable equivalent available. If a material adverse reduction in that core functionality cannot reasonably be replaced, the Customer may terminate the affected paid service by notice within 30 days of the change taking effect, and we will refund any prepaid fees covering the period after termination for the affected service on a pro-rata basis.

6. No endorsement, no advice

Industrial Connected does not endorse, guarantee, warrant or certify any supplier, buyer, equipment seller, service provider, product, listing, service, project outcome, quotation, capability, certification, review, Trust Score, recommendation, ranking, sponsorship placement, "Verified" status or other status displayed on the platform. Nothing on the Service constitutes legal, financial, tax, regulatory, engineering, safety, insurance or other professional advice, and you must not rely on it as such. Any information provided is for general informational purposes only.

7. Verified status

"Verified" is a single, defined status on the Service. A supplier or buyer is Verified when all of the following have been completed and accepted:

  • confirmation of control of a work email address by one-time code, where the domain matches the company presented and is not a free email provider (or a reviewed exception where a matching domain is not available)
  • location of a corresponding company record at Companies House and association of the account with that record
  • grant of the badge, automatically once both checks are on file, or by an Industrial Connected administrator where a discrepancy has been reviewed

Verification reflects only those checks, carried out at a point in time on information supplied by the user and by Companies House. It is not an endorsement, quality mark, audit, accreditation, certification by Industrial Connected, assessment of technical competence, capability, capacity, insurance, creditworthiness or financial stability, and it is not a guarantee of performance or suitability. Verification may be reviewed, suspended or withdrawn, for example where information changes or proves inaccurate. Users must continue to perform their own due diligence regardless of any Verified status displayed.

8. Trust Score™

Trust Scores™ are informational indicators generated using platform data, verification records, buyer feedback, reviews, supplier activity and other information available to the platform. Trust Scores™ are intended to assist users in evaluating suppliers and should not be relied upon as guarantees of capability, quality, suitability, financial stability or future performance. Trust Scores™ may be inaccurate, incomplete or out of date, may change over time, and may be adjusted, recalculated or withdrawn at our discretion.

8a. Supplier Performance Score™

Supplier Performance Scores™ are informational indicators designed to assist users. They may be generated using a combination of:

  • projects completed;
  • project outcomes;
  • buyer feedback;
  • "would use again" responses;
  • recommendation responses;
  • repeat business data;
  • response performance; and
  • other platform activity.

Supplier Performance Scores™ do not guarantee supplier quality, supplier suitability, future performance or project success. The score is intended to support decision making and must not replace independent due diligence or commercial judgement.

8b. Recommendations, rankings and Match Scores

Industrial Connected may generate supplier recommendations, rankings, Match Scores, suggested suppliers and similar outputs using platform data, supplier information, project information and algorithmic or AI-assisted processing. Industrial Connected does not guarantee that recommended suppliers, ranked suppliers, Match Scores or suggested suppliers represent the best, most suitable or most appropriate supplier for any specific project or requirement. These tools are designed to assist users and must not replace independent commercial judgement or due diligence.

8c. Supplier comparisons

Comparison tools are generated using available platform data and user-supplied information. Industrial Connected does not warrant the completeness, currency or accuracy of all comparison data. Comparison outputs are intended to assist users; users remain responsible for evaluating suppliers and making procurement decisions.

8d. Contract values

The platform may display, capture or aggregate contract-related values, including Estimated Contract Values, Awarded Contract Values, Completed Contract Values, value generated through Industrial Connected, revenue metrics and marketplace value metrics. Contract values may be user supplied, estimated or approximate. Industrial Connected does not independently verify all contract values submitted through the platform. Contract value metrics must be treated as informational only and must not be relied upon as evidence of actual revenue, turnover, contract awards or financial standing of any user.

8e. Repeat business and recommendation metrics

"Would Use Again %", "Recommendation %", "Repeat Business Rate", buyer feedback metrics and similar indicators are derived from platform activity and user responses. They may not reflect all commercial activity, relationships outside the platform or all work undertaken by a supplier. They are informational indicators only and must not be relied upon as guarantees of future engagement.

8f. Accuracy of user information

Industrial Connected relies on information supplied by users and third parties. While verification checks may be performed in certain circumstances, Industrial Connected does not warrant the accuracy, completeness or ongoing validity of all information displayed on the platform, including profile information, capabilities, certifications, accreditations, references, case studies, listings, quotations, project details and contract values. Users remain responsible for conducting their own due diligence.

8g. Platform intelligence and benchmarking

Industry intelligence, benchmarking, market insights, demand trends, supplier analytics, performance analytics, growth metrics and similar content provided through the Service are derived from platform data and (where possible) anonymised or aggregated information. Such information is provided for general informational purposes only. It does not constitute, and must not be relied upon as, financial advice, procurement advice, commercial advice, investment advice or legal advice. Users should obtain their own professional advice before acting on it.

8h. Evolution of algorithms and methodologies

Industrial Connected may, at its sole discretion, modify, improve, retrain, recalibrate or evolve its matching algorithms, recommendation systems, Trust Score™ methodologies, Supplier Performance Score™ methodologies, ranking systems, comparison logic, benchmarking methodologies and related platform intelligence from time to time, without notice and without liability. The platform reserves full discretion in how these systems are designed, developed, weighted, displayed and maintained, including which signals are used, how they are combined, and how outputs are presented to users.

8i. Supplier selection and due diligence

Industrial Connected provides tools to assist users in finding, comparing and evaluating suppliers, requesting quotations and managing procurement workflows. Users remain solely responsible for supplier selection, commercial decisions, contract negotiations, due diligence and procurement outcomes. Industrial Connected does not guarantee supplier suitability, supplier performance, supplier quality, project outcomes or commercial success arising from use of the Service.

9. Supplier, seller and provider information

Suppliers, equipment sellers and industry support providers are solely responsible for ensuring that all information, listings, photographs, specifications, condition statements, pricing, certifications, accreditations, references, case studies, project examples and representations made through the platform are accurate, complete, lawful and up to date. Industrial Connected does not independently verify all information provided by users, does not inspect goods or premises, and does not validate third party certifications, accreditations or references.

9a. Buyer obligations

Buyers must post genuine Requirements for real sourcing needs, describe scope, quantities, tolerances, materials, standards and timescales accurately, hold the rights to share any materials they upload, and respond to suppliers within a reasonable time. Buyers must not post Requirements to harvest pricing, designs, process know how or competitor intelligence with no intention of awarding work, post on behalf of an undisclosed third party without authority, or use supplier quotations or technical proposals in breach of clause 27b. We may remove Requirements, restrict posting or suspend accounts where these obligations are not met.

10. Equipment listings (For Sale and Wanted)

The Equipment Marketplace allows users to advertise equipment for sale and to post wanted requirements. Industrial Connected is not the seller, buyer, agent, broker, escrow agent, valuer, inspector, financier or insurer of any equipment listed. We do not hold funds, arrange shipping, decommission equipment or transfer title.

Sellers warrant that they have full right, title and authority to sell the equipment listed, that the equipment is accurately described, and that listings comply with all applicable laws (including export controls, sanctions, safety regulations, environmental rules and intellectual property rights). Buyers are solely responsible for inspecting equipment, verifying condition, ensuring compliance with relevant regulations, and arranging payment, collection, decommissioning, transport and insurance. Industrial Connected accepts no liability for any defect, mis-description, non-conformity, injury, damage, loss, regulatory breach, sanctioned-party transaction or dispute arising from any equipment listing or sale.

11. Sourcing Marketplace

Buyers may post requirements and suppliers may submit applications and quotations. Industrial Connected may operate caps, credits, application limits, introduction releases, anonymisation rules, paid features and discretionary moderation in relation to projects. Pricing, scope, intellectual property, warranties, delivery and contractual terms for any project are agreed solely between the buyer and supplier; Industrial Connected is not a party to the resulting engagement, and we accept no liability for project delivery, non-payment, defects, delays or disputes.

12. NDAs and electronic signature

The Service makes a standard mutual NDA template available so that a Buyer and a Supplier can put confidentiality protection in place before confidential project detail is released. An NDA executed through the Service is specific to the project, Buyer and Supplier for which it is signed: it does not automatically extend to a different project, and the same two parties will be asked to sign again on a new project.

Users may execute NDAs and related documents electronically through the Service. Using the electronic signing flow, including typing a name and confirming the on-screen declaration, indicates an intention to sign and to be bound where the document is capable of being signed in that way. Each person signing confirms that they are authorised to sign personally or to bind the organisation they represent. We may record and retain evidence of execution, including timestamps, account and user identity, IP address, the document version signed and related audit events, and may store signed copies in accordance with our Privacy Policy and retention arrangements. We may make signed copies available to the parties to that NDA.

Uploading a party's own or custom NDA document is not currently enabled. Where that feature is enabled in future, the uploading party is responsible for ensuring it holds the rights to use the document and that the document is appropriate for its circumstances.

The template is provided for convenience only. It is not legal advice, is not tailored to your circumstances, and may not be suitable for your transaction or jurisdiction. You are responsible for taking your own legal advice before signing. Industrial Connected does not warrant that any NDA is enforceable, sufficient or fit for any particular purpose, is not acting as solicitor, legal adviser, witness or notary, and accepts no liability for any loss arising from an NDA's use, non-use, enforceability or breach by any party.

Industrial Connected is not automatically a party to any NDA executed between users. Where two users enter into an NDA, that NDA governs confidentiality between those parties for the information it covers, but it does not vary Industrial Connected's own rights or obligations under these Terms unless we expressly agree to it in writing.

13. Reviews and lead feedback

Users may submit reviews, ratings and lead feedback. By submitting a review or feedback you confirm that it is your genuine opinion, factually accurate to the best of your knowledge, relates to a real interaction made through or in connection with the Service, and does not contain unlawful, defamatory, confidential, misleading or offensive content. You grant Industrial Connected a perpetual, irrevocable, worldwide, royalty free, sublicensable licence to host, display, reproduce, adapt, translate, publish and use your review or feedback for any purpose connected with the Service, including marketing.

We may investigate a review, hold it pending while we do so, decline to publish it, remove it where it breaches these Terms, our Reviews Policy or the law, redact personal data, confidential information or unlawful or defamatory material, and make formatting or moderation changes that do not alter the substance of the opinion. We do not rewrite the substantive opinion or sentiment of a genuine review. We may use reviews and feedback to inform Trust Scores, Supplier Performance Scores, rankings and other platform metrics. We are not responsible for the content of user reviews, which are the views of their authors and not of Industrial Connected. Our Reviews Policy sets out the detail and applies alongside this clause.

14. Recommendation engine and matching

Supplier recommendations, matches, rankings, comparison results, suggested suppliers, sellers or providers and similar outputs are generated using platform data and proprietary algorithms. Industrial Connected does not warrant that any recommendation, match, comparison or ranking is accurate, complete, impartial or suitable for any particular project, requirement or business purpose, and accepts no liability for decisions taken in reliance on them.

14a. Paid visibility and Match Scores

Paid membership does not buy a higher suitability Match Score. Match Scores and matching outputs are generated from capability, category, location, requirement and platform data.

Paid plans, sponsorships and featured placements may provide commercial visibility benefits, which are separate from suitability. Those benefits may include enhanced or promoted placement in the supplier directory and category pages, homepage or spotlight promotion, earlier or instant matched-opportunity alerts, higher application allowances, and access to features not included on lower tiers. Where a placement is paid, it is identified as such where required by law. A paid tier does not guarantee that a supplier will appear above another supplier in a buyer-facing matched list where the other supplier is a better match for the requirement.

15. AI assisted features and chatbot

The Service may include AI assisted drafting tools, summarisation, classification, search, chatbots and other generative features. These features can produce inaccurate, incomplete, biased or misleading output, may "hallucinate" facts, and must not be relied upon. You are responsible for reviewing all AI output before acting on it, and for ensuring you do not submit personal data, confidential information, regulated data or third party intellectual property in breach of any obligation. Industrial Connected accepts no liability for any loss arising from your use of, or reliance on, AI assisted output.

16. Due diligence

Users remain solely responsible for carrying out their own due diligence, technical assessments, financial assessments, equipment inspections, sanctions and export checks, credit checks and commercial evaluations before entering into any contract or business relationship with another user.

17. Project, listing and lead outcomes

Industrial Connected does not guarantee that:

  • A project will receive applications or quotations;
  • A supplier will be selected, shortlisted or introduced;
  • A quotation will be accepted or honoured;
  • A project will be completed successfully, on time, on budget or at all;
  • An equipment listing will receive enquiries, offers or sell;
  • An industry support listing will generate leads or revenue;
  • Any lead, introduction or credit will convert into business; or
  • Any commercial relationship will be formed.

17a. Complaints and disputes between users

Industrial Connected provides introductions and tooling only. We are not a party to, and have no involvement in, any contract, quotation, purchase order, NDA, equipment sale or services engagement formed between users. All commercial terms (including scope, price, lead times, payment, delivery, acceptance, quality, warranties, intellectual property, liability, insurance and termination) are a matter solely between the buyer and the supplier (or between the equipment seller and the equipment buyer).

Industrial Connected does not adjudicate, mediate, arbitrate, investigate, enforce or take sides in commercial disputes between users, including disputes about quality, conformity, delays, defects, non payment, cancellation, intellectual property, refunds, damages or breach of contract. Users are responsible for resolving any such dispute directly with each other and, where necessary, through their own legal, professional or insurance channels. Users should keep their own records of orders, communications, deliverables and payments.

We may, at our sole discretion and without any obligation to do so, accept reports of safety issues, fraud, unlawful conduct, breaches of these Terms, or material misrepresentation, and take proportionate action limited to platform measures (for example removing content, adjusting Verified status, restricting features, or suspending or terminating accounts). Any such action is taken to protect the integrity of the Service and is not an adjudication of the underlying commercial dispute, does not create any duty of care toward any user, and does not make Industrial Connected liable for the dispute or its outcome.

Complaints about the Service itself (as opposed to disputes with another user) can be sent to support@industrialconnected.com and we will respond within a reasonable time.

18. Platform availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, timely, secure or error free operation, and shall not be liable for any interruption, delay, error, downtime, maintenance window, data loss, data corruption, lost messages, lost notifications or temporary or permanent unavailability of the Service or any feature.

19. Beta and early features

Certain features, services, recommendation systems, Trust Scores, Supplier Performance Scores, comparison tools, matching functionality, NDA tooling and AI assisted features may be provided on a beta, trial, preview or experimental basis. They may be changed, restricted or withdrawn at any time without notice and without liability. Industrial Connected makes no warranty regarding their accuracy, stability or reliability.

20. Subscriptions, fees, minimum terms and refunds

Suppliers, equipment sellers, industry support providers and buying organisations may purchase Subscriptions, additional seats, additional supplier profiles, paid placements, sponsorships, application credits and other paid items. The plan name, price, VAT treatment, Billing Period and any Initial Term are shown at checkout, and the details shown at checkout apply to that purchase.

20.1 Initial Term and Billing Period are different things

The Billing Period is how often you pay. The Initial Term is how long you commit for. A plan may be paid monthly and still carry a longer Initial Term. Where a plan carries an Initial Term, paying monthly is an instalment arrangement for that committed term, not a rolling month-to-month contract, and the whole of the committed amount is payable.

The commitments currently offered, taken from our live plan configuration, are set out below. The Initial Term shown at checkout for your plan is the one that binds.

  • Directory Listing: monthly, no minimum term; annual, 12 month initial term.
  • Core: monthly, no minimum term; annual, 12 month initial term.
  • Professional: monthly, 3 month initial term; annual, 12 month initial term.
  • Premium: monthly, 3 month initial term; annual, 12 month initial term.
  • Enterprise Supplier: monthly, 12 month initial term; annual, 12 month initial term.
  • Multi-Company Supplier Group: monthly, 12 month initial term; annual, 12 month initial term.
  • Enterprise Buyer: monthly, no minimum term.

20.2 Renewal

Subscriptions renew automatically at the end of the Initial Term and at the end of each Renewal Term, at the then-current price for the plan, unless cancelled in accordance with clause 20.3. A monthly Subscription renews monthly after its Initial Term has been completed. An annual Subscription renews for a further 12 months. We will make renewal pricing available in the Service, and will give reasonable prior notice of a price increase taking effect on renewal.

20.3 Cancellation

You may cancel a Subscription at any time from your billing settings. Cancellation is not retrospective and does not shorten a committed term:

  • where there is no Initial Term, or the Initial Term has already completed, the Subscription ends at the end of the current Billing Period;
  • where you are inside an Initial Term and pay monthly, service continues and the remaining monthly instalments remain payable until the end of the Initial Term, after which the Subscription ends and does not renew;
  • where you are inside an Initial Term and have paid annually in advance, the Subscription ends at the end of the period you have already paid for and does not renew.

We may, at our discretion and in exceptional circumstances, agree an earlier termination; any such agreement must be confirmed by us in writing and is recorded on the account.

20.4 Refunds

Except where required by law, fees are non-refundable, including annual, multi-month and committed-term plans. By choosing an annual plan, or any plan with an Initial Term, you agree that the fee for the committed term is payable in full, is earned on payment (or on each instalment falling due), and is not refundable in whole or in part. This applies if you cancel, downgrade, stop using the Service, are suspended or removed for breach, or close your account before the end of the term. The same rule applies to founding member fees, sponsorships, featured placements, application credit packs, one-off unlocks and any other prepaid purchase. The only exceptions are the pro-rata refund right in clause 5 for a material adverse feature reduction, any refund we agree in writing, and any non-waivable statutory right.

20.5 Credits and allowances

Application credits, founding member credits, promotional credits, seat allowances and bundled allowances are non-transferable, have no cash value, may not be exchanged for money, expire at the end of the relevant Billing Period or stated validity period unless the plan says otherwise, and may be revoked for breach of these Terms. Where a plan does not include application credits, credits may be purchased separately at the price shown in the Service.

20.6 Payment, VAT and non-payment

Prices are quoted exclusive of VAT unless stated otherwise, and VAT is added at the applicable rate where chargeable. Where we agree to invoice you rather than take card payment, access may be granted on issue of the invoice on the basis that the invoice is then paid by its due date. Invoices are payable within the period stated on the invoice. If a payment fails or an invoice is not paid when due, we may apply a short grace period, re-attempt collection, restrict or suspend paid features, and, if the amount remains unpaid, suspend or terminate the Subscription and recover the outstanding amount together with interest and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. Suspension for non-payment does not release you from the fees payable for the committed term.

20.7 Commission

Industrial Connected does not charge commission, success fees or a percentage of contract value on work awarded between users. Our revenue comes from Subscriptions and other paid items shown at checkout.

20.8 Price and plan changes

We may change prices, plans, allowances and inclusions prospectively. A change to a price does not affect the price of a committed term you have already started; it applies from the start of the next Renewal Term.

20a. Order of precedence

If there is a conflict between documents, the following order applies, from highest to lowest: (a) a written agreement signed by an authorised representative of Industrial Connected; (b) the plan, price, Initial Term and inclusions presented to you at checkout for the item purchased; (c) these Terms; (d) our Privacy Policy, Reviews Policy, Cookie Policy and other published policies, each of which applies within its own subject matter; (e) Help Centre, pricing pages and other marketing or explanatory content, which are provided for guidance only and do not vary these Terms.

21. Founding member and promotional offers

Founding member tiers, "first year free" offers, discounted introductory pricing, free trials and similar promotional offers are made at our discretion, are subject to availability and the specific terms presented at sign up, and may be capped, varied or withdrawn at any time. Eligibility is determined by us and is conditional on continued compliance with these Terms. Where a promotional period ends, the standard list price for the applicable tier will apply automatically unless cancelled.

22. Sponsorships and paid placements

Sponsorships, featured placements, premium tiers, sponsored directory positions and similar promotional features are commercial arrangements paid for by the supplier, seller or provider being promoted. Buyers cannot promote or sponsor a third party without that party's authorisation, and sponsorships do not constitute an endorsement by Industrial Connected of the sponsored party. Paid placements are identified where required by law. We do not guarantee any specific impression, click, lead, conversion or commercial outcome from any sponsorship or placement.

23. Payment processing

Card and other payments are processed by third party payment providers. By submitting a payment you agree to the relevant provider's terms. Industrial Connected does not store full payment card details and is not liable for the acts, omissions, downtime, fees, currency conversion, chargebacks or fraud controls of any payment provider.

24. Acceptable use and anti circumvention

You agree not to intentionally circumvent the platform or its fee structure following an introduction made through Industrial Connected. Where a buyer and supplier (or buyer and seller, or buyer and provider) are introduced through the Service and subsequently transact off platform within twenty four (24) months of the introduction, we reserve the right to recover the Subscription Fees, placement fees, credit charges and other platform charges that would otherwise have been payable, together with reasonable costs of recovery. We do not charge commission or a percentage of contract value, and nothing in this clause creates such a charge. This clause does not prevent a buyer and supplier who already had a genuine, documented pre-existing relationship before the Introduction from continuing to trade with each other.

  • No misrepresentation of capabilities, certifications, equipment condition or company identity.
  • No scraping, crawling, harvesting, reselling, redistributing or AI training on platform data, listings, profiles, reviews or contact information.
  • No reverse engineering, decompiling or attempting to derive source code, scoring formulae or matching algorithms.
  • No circumvention of the platform to avoid fees once an introduction has been made.
  • No unlawful, harassing, defamatory, fraudulent, discriminatory or spam communications.
  • No fake, incentivised, retaliatory, manipulated or coordinated reviews or feedback.
  • No listing of stolen, counterfeit, sanctioned, unsafe, recalled or unlawfully sourced equipment.
  • No use of the Service to breach any applicable export control, sanctions, anti bribery, modern slavery, competition or data protection law.
  • No uploading of malware, exploits or content that infringes any third party right.

25. User content and licence

You retain ownership of content you submit (including listings, project briefs, drawings, photographs, specifications, case studies and reviews) ("User Content"). You grant Industrial Connected a worldwide, non exclusive, royalty free, sublicensable, transferable licence to host, store, cache, display, reproduce, adapt, translate, anonymise, aggregate, transmit and distribute the User Content for the purposes of operating, securing, analysing and improving the Service. You warrant that you own or are licensed to share the User Content and that it does not infringe any third party right or breach any law or duty of confidentiality.

This licence is limited by the sensitivity of the content:

  • Public content that you choose to publish (company profile content, public listings, published reviews and similar) may also be used to promote the Service and the content itself, including in marketing, search listings and social media.
  • Confidential content, including Buyer Project Materials, Supplier Proposal Materials, quotations, private messages and documents shared under an NDA, is not used for marketing, is not published, and is not disclosed to other users except as you direct through the Service. We do not use it to train generative AI models on identifiable content. We may process it to operate the Service, and may use anonymised and aggregated derivatives in accordance with clause 26.

26. Data, analytics and intelligence rights

Industrial Connected may use anonymised and aggregated platform data, project data, listing data, supplier performance data, user activity and platform metrics to develop benchmarking, analytics, market intelligence, reporting, recommendation services, training data and other platform features. No personally identifiable or commercially sensitive information will be disclosed in identifiable form except as required by law or with user consent. Aggregated and anonymised outputs are owned by Industrial Connected.

27. Confidentiality between users

Information shared between buyers and suppliers through the platform (including requirements, drawings, specifications and quotations) is to be treated as confidential by the receiving user and used only for the purpose of evaluating and fulfilling the relevant project. Users are responsible for putting in place appropriate confidentiality protections, including signing an NDA where required. These obligations continue for so long as the information remains confidential and, in any event, for three (3) years after disclosure, and are not ended by closure of an account.

These obligations do not apply to information that the receiving party can show: was already lawfully in its possession without a duty of confidence before disclosure; is or becomes public other than through its breach; was lawfully received from a third party entitled to disclose it; or was independently developed without use of the disclosing party's information. A party may also disclose Confidential Information where required by law, regulation, a court or a regulator, or to its professional advisers under a duty of confidence, giving the disclosing party notice where lawful to do so.

Industrial Connected is not liable for any breach of confidentiality by any user.

27a. Buyer project materials and intellectual property

The buyer retains all right, title and interest in any drawings, designs, models, CAD files, specifications, technical data, prototypes, samples, know how and other materials they upload, share or otherwise make available through the Service in connection with a project ("Buyer Project Materials"). Nothing in these Terms transfers ownership of Buyer Project Materials to any supplier or to Industrial Connected.

Suppliers and other recipients are granted a limited, non exclusive, non transferable, non sublicensable, revocable licence to access and use Buyer Project Materials solely for the purpose of preparing a quotation for, and (if awarded) fulfilling, the specific project to which the materials relate. Any other use is prohibited, including (without limitation) using Buyer Project Materials to quote or supply to third parties, to manufacture or supply the same or similar items for any other customer, to develop competing or derivative products, to train machine learning or AI models, or to reverse engineer the buyer's designs.

Suppliers must not retain Buyer Project Materials beyond what is reasonably necessary to perform the quotation or the awarded project. On request by the buyer, or on the buyer withdrawing the project or declining to award it to the supplier, the supplier must promptly cease use of and securely delete or return all Buyer Project Materials and any copies, extracts or derivatives, save for one archival copy retained solely to evidence compliance with legal, regulatory or insurance obligations. The confidentiality, use restriction and non retention obligations in this clause survive expiry or termination of the project, the supplier's account and these Terms.

Industrial Connected does not claim ownership of Buyer Project Materials and does not grant any licence over them to any supplier or third party. The licence in clause 25 ("User content and licence") permits Industrial Connected to host and operate the Service only; it does not permit Industrial Connected to disclose Buyer Project Materials to suppliers other than as directed by the buyer, to use them to compete with the buyer, or to transfer ownership of them.

27b. Supplier proposal materials

Suppliers retain all right, title and interest in the quotations, pricing, technical proposals, process routes, method statements, tooling designs, drawings, calculations, samples and other materials they prepare and share through the Service ("Supplier Proposal Materials"). Nothing in these Terms transfers ownership of Supplier Proposal Materials to the buyer or to Industrial Connected.

A buyer receiving Supplier Proposal Materials is granted a limited, non exclusive, non transferable, non sublicensable licence to use them solely to evaluate the supplier's proposal for the relevant Requirement and, where the work is awarded, to receive the resulting supply. A buyer must not disclose a supplier's quotation, pricing or technical proposal to a competing supplier, use it to obtain a lower price elsewhere by disclosing its contents, use it to manufacture the item itself or through a third party, or use it to train machine learning or AI models. Ownership of intellectual property created in the course of an awarded engagement is a matter for the contract between the buyer and the supplier; Industrial Connected is not a party to it and takes no position on it.

The obligations in this clause survive expiry or termination of the Requirement, the account and these Terms.

28. Intellectual property

All platform content, branding, trade marks, logos, software, databases, scoring methodologies, templates (including the NDA template) and design are owned by Industrial Connected or its licensors and are protected by intellectual property laws. No rights are granted other than as expressly stated in these Terms. You may not copy, modify, distribute, sell or create derivative works of the Service.

28a. Export controls, sanctions and restricted industries

The Service may be used by participants working in sectors that are subject to additional legal, regulatory or security controls, including defence, aerospace, military, space, nuclear, chemical, biological, cryptographic and other dual use technologies. Users are solely responsible for ensuring that their use of the Service, the information they upload, share, request or receive, and any resulting transaction, complies with all applicable laws and regulations, including (without limitation) UK, EU, US and other applicable export control regimes, trade and economic sanctions, end use and end user restrictions, customs and import rules, the Official Secrets Act and equivalent security legislation, ITAR, EAR, the UK Strategic Export Control Lists, the UK Export Control Order 2008, EU Regulation 2021/821 on dual use items, and any industry, safety, environmental, nuclear, aviation, defence, security clearance or licensing requirements that apply to their business or project.

Users must not use the Service to upload, transmit, request, quote for, supply or transfer any controlled goods, software, technology, technical data or know how, or to engage with any sanctioned person, entity, country or end use, where doing so would require a licence or authorisation that the user does not hold, or where it would otherwise be unlawful. Buyers are responsible for assessing whether their project is export controlled before uploading materials, and for marking sensitive projects accordingly and using appropriate confidentiality and clearance controls (including NDAs and direct vetting of suppliers) outside the platform where required. Suppliers are responsible for ensuring they hold any clearances, registrations, accreditations and export licences required before accepting a project or shipping goods.

Industrial Connected does not provide export control, sanctions, defence security or regulatory advice, does not screen users, projects, listings or transactions against sanctions or export control lists, and is not an exporter, importer, end user or party to any user transaction. To the maximum extent permitted by law, Industrial Connected accepts no liability for any breach of export controls, sanctions or industry regulations by any user, and we may suspend or terminate accounts, remove content or refuse transactions where we reasonably suspect non compliance. The indemnity in clause 30 extends to any claim, loss, penalty or enforcement action arising from a user's breach of this clause.

29. Third party links and integrations

The Service may contain links to or integrations with third party websites, content, services or providers (including payment processors, email providers, identity providers and AI providers). Industrial Connected does not control and is not responsible for third party content, services, availability, security, pricing, terms or privacy practices, and inclusion of any link or integration is not an endorsement.

30. Indemnity

You agree to indemnify, defend and hold harmless Industrial Connected, its officers, employees, contractors and agents from and against all claims, demands, proceedings, losses, damages, fines, penalties, costs and expenses (including reasonable legal costs) arising out of or in connection with: (a) your breach of these Terms or of any applicable law; (b) your User Content, including any claim that it infringes a third party right; (c) any contract, dealing, dispute, equipment sale or services engagement between you and any other user; (d) your misuse of Confidential Information, Buyer Project Materials or Supplier Proposal Materials shared through the Service; or (e) your breach of clause 28a (export controls, sanctions and restricted industries).

This indemnity does not apply to the extent that a claim arises from our own breach of these Terms, our negligence or our unlawful act. We will notify you promptly of any claim for which we seek indemnity, will not settle it without your consent (not to be unreasonably withheld or delayed), and will give you reasonable assistance at your cost. You may assume conduct of the defence of a claim with our written consent, provided you do not admit liability or agree any settlement that imposes an obligation on us without our consent.

31. Disclaimers

To the maximum extent permitted by law, Industrial Connected disclaims all warranties, conditions, representations and terms (express, implied, statutory or otherwise) including any implied warranties of satisfactory quality, fitness for a particular purpose, non infringement, accuracy, completeness, security and uninterrupted operation. The Service is provided on an "as is" and "as available" basis.

32. Liability cap and excluded losses

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to that, and to the maximum extent permitted by applicable law, Industrial Connected accepts no liability for any loss, damage, cost, expense, claim or liability arising out of or in connection with any Introduction, match, listing, sponsorship, application credit, review, NDA, recommendation, score, AI output or communication between users, or any contract, transaction, equipment sale, non-payment or dispute between users. We are an introduction platform and are not a party to those dealings.

Industrial Connected shall not be liable for: loss of business; loss of contracts; loss of opportunity; loss of anticipated savings; loss of goodwill; loss of reputation; loss of revenue; loss of profit; loss, corruption or unavailability of data; loss arising from third party acts or omissions; or any indirect, special, incidental, consequential, punitive or exemplary loss, in each case whether direct or indirect and whether in contract, tort (including negligence), breach of statutory duty, restitution or otherwise, and even if we have been advised of the possibility of such loss.

Where any liability cannot be excluded by law, our liability is limited to the maximum extent permitted and, where liability can be limited, our total aggregate liability to you in respect of all claims arising in any twelve (12) month period is capped at the greater of (a) the total fees actually paid by you to Industrial Connected for the Service in the twelve (12) months preceding the event giving rise to the first such claim and (b) one hundred pounds sterling (GBP 100).

33. Force majeure

Industrial Connected is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, strikes, epidemic or pandemic, government action, sanctions, cyber attack, denial of service, outage of any third party provider (including payment, email, hosting, identity or AI providers), telecommunications failure or internet failure.

34. Suspension and termination

We may suspend, restrict, downgrade or terminate an account, listing, sponsorship, credit, review or access to any feature where we reasonably consider that: you have breached these Terms; you have supplied false or misleading information, including in verification; you present a risk to other users, to our reputation or to our infrastructure; fees are overdue; there is suspected fraud, circumvention, unlawful conduct, sanctions or export control risk; or suspension is required by law or by a regulator. Where it is reasonable and lawful to do so we will give notice and, for a breach capable of remedy, a reasonable opportunity to remedy it. We may act without prior notice where there is a risk of harm, unlawfulness or damage to other users.

You may close your account at any time from account settings. Closing an account does not cancel a Subscription commitment, does not entitle you to a refund of fees already paid, and does not release fees payable for a committed term. Termination by us for your breach does not entitle you to a refund.

On termination all licences granted to you cease and access to the Service ends. The following survive termination: clauses 2a (Definitions), 4 (Platform role), 7 (Verified status), 12 (NDAs, in respect of NDAs already executed), 13 (Reviews, in respect of reviews already published), 20 and 20a (fees, committed terms, refunds and precedence), 24 (anti circumvention), 25 (User Content licence, in respect of content already published), 26 (data and analytics rights), 27, 27a and 27b (confidentiality and materials), 28 (intellectual property), 28a (export controls), 30 (indemnity), 31 to 34, and 36 to 41, together with any other provision which by its nature is intended to survive.

35. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date will reflect the latest version. Material changes will be notified by email or in app. Continued use of the Service after the effective date constitutes acceptance.

36. Assignment

You may not assign, transfer or sub contract any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer or sub contract any of our rights or obligations to any affiliate or successor in connection with a corporate reorganisation, merger, acquisition or sale of assets.

37. Entire agreement; no waiver; severability

These Terms, together with documents incorporated by reference, constitute the entire agreement between you and Industrial Connected in relation to the Service and supersede all prior agreements and representations. No failure or delay by us in exercising any right is a waiver of that right. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

38. No third party rights

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

39. Notices

We may give notice to you by email to the address registered with your account, by in app message, or by posting on the Service. You must send legal notices to us by email to info@industrialconnected.com.

40. Governing law and jurisdiction

These Terms and any non contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, save that we may bring proceedings to protect our intellectual property or confidential information in any jurisdiction.
